These Terms of Use apply to the SearchMyNOC website located at the SearchMyNOC.com and all associated sites linked to the SearchMyNOC website by SearchMyNOC, its subsidiaries and affiliates, including SearchMyNOC sites around the world (collectively, the "Site"). The Site is the property of SearchMyNOC and its licensors. BY USING THE SITE, YOU AGREE TO THESE TERMS OF USE; IF YOU DO NOT AGREE, DO NOT USE THE SITE.

SearchMyNOC reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time. It is your responsibility to check these Terms of Use periodically for changes. Your continued use of the Site following the posting of changes will mean that you accept and agree to the changes. As long as you comply with these Terms of Use, SearchMyNOC grants you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Site.

Additionally, by using the Site, you acknowledge and agree that Internet transmissions are never completely private or secure. You understand that any message or information you send to the Site may be read or intercepted by others, even if there is a special notice that a particular transmission (for example, credit card information) is encrypted.

All software, technology, designs, materials, information, communications, text, graphics, links, electronic art, animations, illustrations, artwork, audio clips, video clips, images, reviews, ideas, user interfaces, visual interfaces, photographs, trademarks, logos, computer code and other data or copyrightable materials or content, including the selection and arrangements thereof is "Content." Where SearchMyNOC provides Content to you in connection with the Services, including, without limitation, the software, the products and the site, it is "Company Content". Content remains the proprietary property of the person or entity supplying it (or their affiliated and/or third-party providers and suppliers) and is protected, without limitation, pursuant to Australian and foreign copyright and other intellectual property laws.

Such Content, contained on the Site is owned, controlled or licensed by or to SearchMyNOC, and is protected by trade dress, copyright, patent and trademark laws, and various other intellectual property rights and unfair competition laws.

Except as expressly provided in these Terms of Use, no part of the Site and no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way (including "mirroring") to any other computer, server, Web site or other medium for publication or distribution or for any commercial enterprise, without SearchMyNOC's express prior written consent.

d)SearchMyNOC may grant you a limited, non-exclusive, non-transferable license to access Company Content available on SearchMyNOC for use in accordance with these Terms and any other conditions. All other uses are expressly prohibited without our express written consent. You may not reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, create derivative works of, license, or otherwise transfer or use any Company Content unless we give you explicit permission to do so. Company Content is licensed, and not sold to you. Notwithstanding the foregoing, we reserve the right to revoke this license to access and use Company Content granted to you as described above.

You may use information on SearchMyNOC’s services (such as data sheets, knowledge base articles, and similar materials) purposely made available by SearchMyNOC for downloading from the Site, provided that you (1) do not remove any proprietary notice language in all copies of such documents, (2) use such information only for your personal, non-commercial informational purpose and do not copy or post such information on any networked computer or broadcast it in any media, (3) make no modifications to any such information, and (4) do not make any additional representations or warranties relating to such documents.

Although SearchMyNOC attempts to take reasonable care in formulating and upholding the information available on the website, we do not guarantee the reliability, accuracy, extensiveness or adequacy of any of the website content. You accept and acknowledge that the content on the website may comprise typographical errors and technical errors as well as informational inaccuracies due to changing migration laws. You understand that the content on the SearchMyNOC website is subject to change without any prior notice may not necessarily be up to date or accurate at the time it is viewed by you.

You are responsible for enquiring with us directly to warrant the accuracy of the material or information you need to rely on. Including the Competition and Consumer Act 2010 (Cth) and as lawfully permissible, SearchMyNOC denies all liability for direct or indirect loss as a result of your use of the SearchMyNOC.com.au website and its content.

SearchMyNOC does not guarantee uninterrupted access to the SearchMyNOC website website nor does it guarantee a virus free website or a website free from anything else that may damage your computer or any data on it when the website is accessed.

Widget and Widget Content:SearchMyNOC widget (the “Widget”) is a tool that you may place on your website for allowing visitors on your website to access and view content on the SearchMyNOC website. You agree and acknowledge that this Widget may display SearchMyNOC logos, search boxes that link to information located on our website, advertising for SearchMyNOC or advertising for third party products (the “Widget Content”). The Widget will include software files or images incorporated in, or generated by, the Widget, and any and all data and html embedded code that accompanies the Widget, and any upgrades, enhancements or modifications to such software and code. SearchMyNOC retains all ownership and other rights in the Widget and the Widget Content, and in the SearchMyNOC logos and trademarks. You agree and acknowledge that SearchMyNOC may use data capture, syndication analysis and other similar tools to track, extract, compile, aggregate and analyse any data or information resulting from use of a Widget. If you object to any of these changes, your sole recourse is to stop using the Widget and remove the Widget from your website.

Third Party Content: The SearchMyNOC Services may give you access to links to third party platforms, either directly or indirectly. SearchMyNOC does not endorse any of these Third-Party Platforms and does not control them in any manner. Accordingly, SearchMyNOC does not assume any liability associated with Third Party Platforms. You need to take appropriate steps to determine whether accessing a Third-Party Platform is appropriate, and to protect your personal information and privacy on such Third-Party Platforms.

To use the SearchMyNOC services you must have Internet access and a SearchMyNOC ready device.

SearchMyNOC reserves the right to request for subscription or membership to our access the services. We have the sole discretion on whether to allow you to register, renew, change subscription or membership plans and/or use our services.

Data Access: You hereby recognise and acknowledge that we may access and process your data in connection with offering you support.

Your access to the service may be restricted or unavailable

• during scheduled downtime for upgrades and maintenance to the service (we will undertake reasonable efforts to inform you in advance) and/or
• during any inaccessibility caused by conditions beyond our control, such as, but not restricted to, natural calamities, acts of government, acts of terror or political conflict, mechanical breakdowns beyond our control (including, without limitation, incapability to access the internet), or acts undertaken by third parties, including without limitation, distributed denial of service attacks. We will use reasonable efforts to schedule downtimes for weekends (Pacific Time zone) and other off- peak hours.

SearchMyNOC may choose to communicate with you via email regarding your account, news, updates or any other issues related to your account. You will hence automatically subscribe to our mailing lists or newsletters. You may choose to opt out of the subscription at any time.

Conditional upon your compliance with these Terms of Service throughout your period of use, you have regulated, non-exclusive, and revocable right to access and use this Service for Your internal purposes. You are responsible for the activities of any third parties using the Service through your account. You may subscribe to more than one supplementary Service within SearchMyNOC. They may be subject to independent and separate Service Plans based on the Service you purchase.

You shall not use any "deep-link", "page-scrape", "robot", "spider" or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Site or any Content, or in any way reproduce or circumvent the navigational structure or presentation of the Site or any Content, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the Site. SearchMyNOC reserves the right to bar any such activity.

You shall not attempt to gain unauthorized access to any portion or feature of the Site, or any other systems or networks connected to the Site or to any SearchMyNOC server, or to any of the services offered on or through the Site, by hacking, password "mining" or any other illegitimate means.

You shall not probe, scan or test the vulnerability of the Site or any network connected to the Site, nor breach the security or authentication measures on the Site or any network connected to the Site. You may not reverse look-up, trace or seek to trace any information on any other user of or visitor to the Site, or any other customer of SearchMyNOC, including any SearchMyNOC account not owned by you, to its source, or exploit the Site or any service or information made available or offered by or through the Site, in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than your own information, as provided for by the Site.

You agree that you will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Site or SearchMyNOC's systems or networks, or any systems or networks connected to the Site or to SearchMyNOC.

You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of the Site or any transaction being conducted on the Site, or with any other person's use of the Site.

You may not forge headers or otherwise manipulate identifiers in order to disguise the origin of any message or transmittal you send to SearchMyNOC on or through the Site or any service offered on or through the Site. You may not pretend that you are, or that you represent, someone else, or impersonate any other individual or entity.

You shall not use the Site or any Content for any purpose that is unlawful or prohibited by these Terms of Use, or to solicit the performance of any illegal activity or other activity which infringes the rights of SearchMyNOC or others.

You shall not alter, delete or conceal any copyright, trademark, service mark or other notices contained on the Services, and/or modify, reverse engineer, decompile or disassemble any part of the Services, whether in whole or in part, or create any derivative works from any part of the Services, or encourage, assist or authorize any other person in doing so.

You shall not, nor shall you allow-any third party to, reproduce, modify, create derivative works from, display, perform, publish, distribute, disseminate, broadcast or circulate to any third party or otherwise use the services, including, without limitation, any content therein, without the express, prior written consent of SearchMyNOC or its owner if SearchMyNOC is not the owner;

You shall not engage in or encourage conduct that would violate any applicable laws or violate or infringe upon any intellectual property, proprietary, privacy, moral, publicity or other rights of SearchMyNOC as an entity or any of its personnel or affect adversely or reflect negatively on SearchMyNOC's Services, our goodwill, name or reputation or causes duress, distress or discomfort to SearchMyNOC as an entity or any of its personnel, or discourages any person or entity from using all or any portion, features or functions of the website, or from advertising, linking or becoming a supplier to us in connection with any of the Services

You shall not impersonate any person or falsely state or otherwise represent your affiliation with a person or entity.

Subject to your compliance with this Agreement, SearchMyNOC hereby grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to use and display the SearchMyNOC Widget for your internal commercial purposes on a website for which you have proper authorization ("your website") as permitted by this Agreement (should mention this is the Agreement). You are responsible for the activities of any third parties using the Service through your account. You may subscribe to more than one supplementary Service within the SearchMyNOC Widget. You are not licensed to use the Widget for any other purpose, and nothing in this Agreement shall be deemed to grant you any right, title or interest in the Widget.

In accessing or using the Widget you agree that you will not decompile, reverse engineer, disassemble, modify, embed, rent, lease, loan, distribute, or create derivative works or improvements from the Widget or any portion thereof, or attempt to discover any source code, protocols, or other trade secrets in the Widget, or encourage, assist or authorize any other person in doing so.

In accessing or using the Widget you agree that you will not incorporate the Widget into any hardware or software device that you are not authorized to use or otherwise modify.

In accessing or using the Widget you agree that you will not obtain or attempt to obtain unauthorized access to SearchMyNOC's network(s).

In accessing or using the Widget you agree that you will not obscure or disable any element of the Widget.

In accessing or using the Widget you agree that you will not display the Widget on any site that disparages SearchMyNOC or its products or services, infringes any SearchMyNOC intellectual property or other rights, or violates any applicable law.

In accessing or using the Widget you agree that you will not place the Widget on sites that include content that is offensive, abusive, harassing, threatening, discriminatory, vulgar, pornographic, or otherwise inappropriate as determined by SearchMyNOC in its sole discretion.

In accessing or using the Widget you agree that you will not use the Widget in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with these Terms of Use.

In accessing or using the Widget you agree that you will not display the Widget in a manner that does not permit successful linking to, redirection to or delivery of the applicable Widget Content. You may not insert any intermediate page, splash page or other content between the Widget and the applicable Widget Content.

Subject to the express parameters of the limited license granted to you above, the Widget and the Widget Content may not be copied, modified, deleted, reproduced, republished, posted, transmitted, sold, offered for sale, or redistributed in any way

Without the express written consent of SearchMyNOC, the Widget may not be embedded by you or third parties within other widget or gadgets or software modules. You acknowledge and agree that SearchMyNOC may crawl or otherwise monitor your site for the purpose of confirming compliance with this Agreement.

You shall be responsible for obtaining and maintaining all computer software and hardware and other equipment needed for access to and use of the Widget and SearchMyNOC services, and all fees and charges related thereto. SearchMyNOC may offer upgrades or updates to the Widget at its sole discretion. Notwithstanding the foregoing, nothing in this Agreement will be construed as an obligation for SearchMyNOC to install, maintain or support the Widget or to provide you with upgrades, updates or plug-ins to the Widget. SearchMyNOC may change, suspend, or discontinue any aspect of the Widget at any time without notice to you. SearchMyNOC may impose limits on certain features and services or restrict your access to parts or all of the Widget, related content and services without notice or liability.

SearchMyNOC assumes no responsibility, and shall not be liable, for any damages to, or viruses that may infect your computer software, equipment or other property as a result of your access to or use of the Widget, or your downloading of any materials, data, text, images, video, or audio from any SearchMyNOC website.

Additional terms and conditions may apply to purchases of services and to specific portions or features of the Site, including promotions or other similar features, all of which terms are made a part of these Terms of Use by this reference. You agree to abide by such other terms and conditions, including where applicable representing that you are of sufficient legal age to use or participate in such service or feature. If there is a conflict between these Terms of Use and the terms posted for or applicable to a specific portion of the Site or for any service offered on or through the Site, the latter terms shall control with respect to your use of that portion of the Site or the specific service

If the service is offered via a subscription model, SearchMyNOC may, at its sole discretion, offer certain benefits such as discounts on subscription charges or an extension in subscription term for no extra payments. Such benefits would be specific to your account and the service identified while offering these benefits. They are not transferable. The benefits may have an expiry date, and in such scenarios we shall keep you informed prior to commencement of use of the service.

SearchMyNOC's obligations, if any, with regard to its products and services are governed solely by the agreements pursuant to which they are provided, and nothing on this Site should be construed to alter such agreements.

SearchMyNOC may make changes to any services offered on the Site, or to the applicable prices for any such services, at any time, without notice. The materials on the Site with respect to services may be out of date, and SearchMyNOC makes no commitment to update the materials on the Site with respect to such services.

SearchMyNOC shall not be liable to you or any other third party for suspension or termination of your account or access to and use of the Service, if such suspension or termination is in accordance with these Terms of Use.

SearchMyNOC may suspend your access to and use of your account and the service if you are in violation of these Terms of use; these may include misuse of the service or a breach of the Terms of Use specified in this document. You will be notified of your activities that violate these Terms of Use and, at our sole discretion, we will provide you with a period of seven (7) days to rectify or cease such activities. If you fail to rectify such activities within the said period or if we believe that your breach of these Terms of Use cannot be rectified, your account may be terminated.

Certain features or services offered on or through the Site may require you to create an account (including setting up a SearchMyNOC ID and password). You are entirely responsible for maintaining the confidentiality of the information you hold for your account, including your password, and for any and all activity that occurs under your account as a result of your failing to keep this information secure and confidential. You agree to notify SearchMyNOC immediately of any unauthorized use of your account or password, or any other breach of security. You may be held liable for losses incurred by SearchMyNOC or any other user of or visitor to the Site due to someone else using your SearchMyNOC ID, password or account as a result of your failing to keep your account information secure and confidential.

b)You may not use anyone else's SearchMyNOC ID, password or account at any time without the express permission and consent of the holder of that SearchMyNOC ID, password or account. SearchMyNOC cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations.

This Site may contain links to other independent third-party Web sites ("Linked Sites"). These Linked Sites are provided solely as a convenience to our visitors. Such Linked Sites are not under SearchMyNOC's control, and SearchMyNOC is not responsible for and does not endorse the content of such Linked Sites, including any information or materials contained on such Linked Sites. You will need to make your own independent judgment regarding your interaction with these Linked Sites.

SEARCHMYNOC DOES NOT PROMISE THAT THE SITE OR ANY CONTENT, SERVICE OR FEATURE OF THE SITE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ANY DEFECTS WILL BE CORRECTED, OR THAT YOUR USE OF THE SITE WILL PROVIDE SPECIFIC RESULTS. THE SITE AND ITS CONTENT ARE DELIVERED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. ALL INFORMATION PROVIDED ON THE SITE IS SUBJECT TO CHANGE WITHOUT NOTICE. SEARCHMYNOC CANNOT ENSURE THAT ANY FILES OR OTHER DATA YOU DOWNLOAD FROM THE SITE WILL BE FREE OF VIRUSES OR CONTAMINATION OR DESTRUCTIVE FEATURES.

SEARCHMYNOC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF ACCURACY, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

SEARCHMYNOC DISCLAIMS ANY AND ALL LIABILITY FOR THE ACTS, OMISSIONS AND CONDUCT OF ANY THIRD PARTIES IN CONNECTION WITH OR RELATED TO YOUR USE OF THE SITE AND/OR ANY SEARCHMYNOC SERVICES. YOU ASSUME TOTAL RESPONSIBILITY FOR YOUR USE OF THE SITE AND ANY LINKED SITES. YOUR SOLE REMEDY AGAINST SEARCHMYNOC FOR DISSATISFACTION WITH THE SITE OR ANY CONTENT IS TO STOP USING THE SITE OR ANY SUCH CONTENT. THIS LIMITATION OF RELIEF IS A PART OF THE BARGAIN BETWEEN THE PARTIES.

The above disclaimer applies to any damages, liability or injuries caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction of or unauthorized access to, alteration of, or use, whether for breach of contract, tort, negligence or any other cause of action.

SearchMyNOC reserves the right to do any of the following, at any time, without notice: (1) to modify, suspend or terminate operation of or access to the Site, or any portion of the Site, for any reason; (2) to modify or change the Site, or any portion of the Site, and any applicable policies or terms; and (3) to interrupt the operation of the Site, or any portion of the Site, as necessary to perform routine or non-routine maintenance, error correction, or other changes.

Except where prohibited by law, in no event will SearchMyNOC be liable to you for any indirect, consequential, exemplary, incidental or punitive damages, including lost profits, even if SearchMyNOC has been advised of the possibility of such damages.

If, notwithstanding the other provisions of these Terms of Use, SearchMyNOC is found to be liable to you for any damage or loss which arises out of or is in any way connected with your use of the Site or any Content, SearchMyNOC liability shall in no event exceed the greater of (1) the total of any subscription or similar fees with respect to any service or feature of or on the Site paid in the six months prior to the date of the initial claim made against SearchMyNOC, or (2) AU$100.00. Some jurisdictions do not allow limitations of liability, so the foregoing limitation may not apply to you.

Neither SearchMyNOC nor any of its officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries and affiliates are responsible or liable for any indirect, incidental, consequential, special, exemplary, punitive or other damages (including without limitation, damages for loss of business, loss of data or lost profits), under any contract, negligence, strict liability or other theory arising out of or relating in any way to the services and/or materials, available through our website. Your sole remedy for dissatisfaction with the services is to stop using the services or linked third-party websites, as applicable.

In jurisdictions where the exclusion of implied warranties or limitation of liability for incidental or consequential damages is not permitted, our liability will be limited to the extent permitted by law.

You agree that the damage exclusions in these terms of use shall apply even if any remedy fails of its essential purpose.

You agree to indemnify and hold SearchMyNOC, its officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries and affiliates, harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against SearchMyNOC by any third party due to or arising out of or in connection with your use of the Site.

SearchMyNOC reserves the rights, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and in such a case, you agree to fully cooperate as reasonably required with such defences and in asserting any available defences

SearchMyNOC may disclose any information we have about you (including your identity) if we determine that such disclosure is necessary in connection with any investigation or complaint regarding your use of the Site, or to identify, contact or bring legal action against someone who may be causing injury to or interference with (either intentionally or unintentionally) SearchMyNOC's rights or property, or the rights or property of visitors to or users of the Site, including SearchMyNOC's customers. SearchMyNOC reserves the right at all times to disclose any information that SearchMyNOC deems necessary to comply with any applicable law, regulation, legal process or governmental request. SearchMyNOC also may disclose your information when SearchMyNOC determines that applicable law requires or permits such disclosure, including exchanging information with other companies and organizations for fraud protection purposes.

You acknowledge and agree that SearchMyNOC may preserve any transmittal or communication by you with SearchMyNOC through the Site or any service offered on or through the Site, and may also disclose such data if required to do so by law or SearchMyNOC determines that such preservation or disclosure is reasonably necessary to (1) comply with legal process, (2) enforce these Terms of Use, (3) respond to claims that any such data violates the rights of others, or (4) protect the rights, property or personal safety of SearchMyNOC, its employees, users of or visitors to the Site, and the public.

You agree that SearchMyNOC may, in its sole discretion and without prior notice, terminate your access to the Site and/or block your future access to the Site if we determine that you have violated these Terms of Use or other agreements or guidelines which may be associated with your use of the Site. You also agree that any violation by you of these Terms of Use will constitute an unlawful and unfair business practice, and will cause irreparable harm to SearchMyNOC, for which monetary damages would be inadequate, and you consent to SearchMyNOC obtaining any injunctive or equitable relief that SearchMyNOC deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies SearchMyNOC may have at law or in equity.

You agree that SearchMyNOC may, in its sole discretion and without prior notice, terminate your access to the Site, for cause, which includes (but is not limited to) (1) requests by law enforcement or other government agencies, (2) a request by you (self-initiated account deletions), (3) discontinuance or material modification of the Site or any service offered on or through the Site, or (4) unexpected technical issues or problems.

If SearchMyNOC does take any legal action against you as a result of your violation of these Terms of Use, SearchMyNOC will be entitled to recover from you, and you agree to pay, all reasonable attorneys’ fees and costs of such action, in addition to any other relief granted to SearchMyNOC. You agree that SearchMyNOC will not be liable to you or to any third party for termination of your access to the Site as a result of any violation of these Terms of Use. 

You agree that all matters relating to your access to or use of the Site, including all disputes, will be governed by the laws of the Australia and by the laws of the State of Victoria without regard to its conflicts of law's provisions. You agree to the personal jurisdiction by and venue in the state and federal courts in Melbourne, Victoria, and waive any objection to such jurisdiction or venue. The preceding provision regarding venue does not apply if you are a consumer based in the European Union. If you are a consumer based in the European Union, you may make a claim in the courts of the country where you reside.

Any claim under these Terms of Use must be brought within one (1) year after the cause of action arises, or such claim or cause of action is barred. Claims made under the separate terms and conditions of purchase services are not subject to this limitation. No recovery may be sought or received for damages other than out-of-pocket expenses, except that the prevailing party will be entitled to costs and attorneys' fees. In the event of any controversy or dispute between SearchMyNOC and you arising out of or in connection with your use of the Site, the parties shall attempt, promptly and in good faith, to resolve any such dispute. If we are unable to resolve any such dispute within a reasonable time (not to exceed thirty (30) days), then either party may submit such controversy or dispute to mediation. If the dispute cannot be resolved through mediation, then the parties shall be free to pursue any right or remedy available to them under applicable law.

Not with standing any other provision in the Conditions, nothing shall limit your rights as a consumer under Australian laws.

These Terms of Use are governed by the laws of Victoria, Australia.

SearchMyNOC administers and operates the www.SearchMyNOC.com Site from its location in Melbourne, Victoria, Australia; other SearchMyNOC sites may be administered and operated from various locations outside Australia.

Although the Site may be accessible worldwide, not all features, products or services discussed, referenced, provided or offered through or on the Site are available to all persons or in all geographic locations, or appropriate or available for use outside Australia. SearchMyNOC reserves the right to limit, in its sole discretion, the provision and quantity of any feature, product or service to any person or geographic area. Any offer for any feature, product or service made on the Site is void where prohibited. If you choose to access the Site from outside Australia, you do so on your own initiative and you are solely responsible for complying with applicable local laws.
